2. Purpose

The purpose of this Agreement is to allow Advertiser to use Microsoft Advertising services to promote its website and related content in compliance with Microsoft’s policies and guidelines.

3. Advertising Services

Microsoft agrees to provide the following advertising services:

• Placement of Advertiser’s ads on Microsoft Advertising platforms, including but not limited to Bing Search, Microsoft Edge, and partner networks.
• Tools and analytics to monitor ad performance and optimize campaigns.
• Support for billing, account management, and technical issues.

4. Advertiser Responsibilities

Advertiser agrees to:

1. Provide accurate and complete information during the account setup process.
2. Comply with all applicable laws, regulations, and Microsoft Advertising Policies, including but not limited to:
   • Prohibited content (e.g., illegal products, hate speech, adult content).
   • Intellectual property rights (e.g., no unauthorized use of trademarks or copyrighted material).
   • Data privacy and protection (e.g., GDPR, CCPA compliance).
3. Ensure that all ads and landing pages are functional, accurate, and do not mislead users.
4. Maintain a valid payment method on file for billing purposes.

5. Payment Terms

1. Advertiser will pay Microsoft for advertising services based on the agreed-upon pricing model (e.g., cost-per-click, cost-per-impression).
2. Payments will be processed through the payment method provided by Advertiser during account setup.
3. Advertiser is responsible for reviewing and paying all invoices promptly. Late payments may result in suspension of advertising services.

6. Term and Termination

1. Term: This Agreement begins on the date of acceptance and continues until terminated by either party.
2. Termination by Advertiser: Advertiser may terminate this Agreement at any time by ceasing all advertising activities and notifying Microsoft.
3. Termination by Microsoft: Microsoft may terminate this Agreement immediately if Advertiser violates any terms of this Agreement or Microsoft Advertising Policies.
4. Upon termination, Advertiser will remain responsible for all charges incurred up to the termination date.

7. Compliance with Laws

Advertiser agrees to comply with all applicable federal, state, and local laws, including but not limited to:

• The Federal Trade Commission Act.
• CAN-SPAM Act.
• Children’s Online Privacy Protection Act (COPPA).
• Americans with Disabilities Act (ADA).

8. Indemnification

Advertiser agrees to indemnify, defend, and hold harmless Microsoft, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of:

1. Advertiser’s breach of this Agreement.
2. Any content or materials provided by Advertiser.
3. Any violation of applicable laws or third-party rights.

9. Limitation of Liability

1. Microsoft’s total liability under this Agreement shall not exceed the total amount paid by Advertiser for advertising services in the preceding 12 months.
2. In no event shall Microsoft be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement.

10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement and for a period of two years thereafter.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings or agreements, whether written or oral, regarding the subject matter herein.

13. Acceptance

By creating an account with Microsoft Advertising and using its services, Advertiser acknowledges that it has read, understood, and agrees to be bound by the terms of this Agreement.
